These Terms and Conditions ("Terms") govern your access to and use of the SYBR applications, platforms, websites, mobile applications, software, and related services (collectively, the "App") developed and operated by SYBR, LLC ("SYBR," "we," "our," or "us"). By accessing or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the App.

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You must be at least eighteen (18) years old to use the App, or you must have the consent of a parent or legal guardian. By using the App, you represent and warrant that you satisfy this requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. SYBR is not responsible for unauthorized access resulting from your failure to safeguard your credentials.

Subject to your compliance with these Terms, SYBR grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App solely for its intended purpose.

The App may contain links to or integrations with third-party services, software, websites, or platforms. SYBR does not control and is not responsible for the content, availability, policies, or practices of any third party. Your use of third-party services is at your own risk and may be subject to separate terms.
8. MODIFICATIONS AND UPDATES
SYBR reserves the right to modify, update, suspend, restrict, or discontinue the App or any portion of it at any time, with or without notice. Your continued use of the App after any modification or update constitutes your acceptance of the revised version.
9. TERMINATION
We may suspend, restrict, or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or if your use of the App creates legal, security, or operational risk.
Upon termination, you must immediately stop using the App and delete or discontinue use of any copies, credentials, or access methods associated with the App.
10. DISCLAIMER OF WARRANTIES
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO SYBR FOR USE OF THE APP DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless SYBR, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict of law principles.
14. DISPUTE RESOLUTION
Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved through binding arbitration in Pennsylvania, USA, in accordance with the rules of the American Arbitration Association then in effect.
You waive any right to participate in any class action, class arbitration, or representative proceeding.
15. CHANGES TO THESE TERMS
We may update these Terms from time to time. Any revised Terms will become effective upon posting unless otherwise stated. Your continued use of the App after revised Terms become effective constitutes your acceptance of those revised Terms.

This Policy is provided online for convenience and general reference. A printed copy of this Policy may be obtained by contacting SYBR at info@sybr.org. In the event of a conflict between this online Policy and a fully executed written agreement between SYBR and a customer, the executed written agreement shall control.
