This End User License Agreement ("Agreement") is a legal agreement between you ("User," "Customer," or "you") and SYBR, LLC ("SYBR," "we," "our," or "us") governing your access to and use of the SYBR TMS web application, platform, software, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree to this Agreement, you must not access or use the Platform.
1. LICENSE GRANT
Subject to your compliance with this Agreement, SYBR grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes and only in accordance with this Agreement.

3. ACCOUNT REGISTRATION AND SECURITY
To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep such information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. SYBR is not responsible for any unauthorized access to your account resulting from your failure to safeguard your credentials.
4. PERMITTED USE
You may use the Platform only for lawful business purposes and only as authorized by SYBR. You agree to use the Platform in compliance with all applicable local, state, federal, and international laws, regulations, and industry requirements.
5. PRIVACY POLICY
Your use of the Platform is subject to SYBR’s Privacy Policy, which describes how we collect, use, store, and protect information. By using the Platform, you acknowledge and agree to our data practices as described in the Privacy Policy.
6. INTELLECTUAL PROPERTY
The Platform, including all software, functionality, features, designs, text, graphics, logos, trademarks, service marks, data compilations, and proprietary technology, is and shall remain the exclusive property of SYBR or its licensors.
Except for the limited license expressly granted in this Agreement, no right, title, or interest in or to the Platform or any intellectual property rights therein is granted to you.
7. FEES AND PAYMENT
Access to certain features, subscriptions, services, integrations, or support offerings may require payment of fees. By purchasing or using such offerings, you agree to pay all applicable fees invoiced by SYBR.
All invoices are due upon receipt, unless otherwise expressly stated in writing by SYBR. Any amount not paid when due may be considered past due immediately.
If you fail to make payment when due, without limiting any other rights or remedies available to SYBR:
All fees are exclusive of taxes, duties, and similar governmental assessments. You are responsible for all applicable sales, use, excise, and similar taxes, other than taxes imposed on SYBR’s net income.
8. UPDATES, MODIFICATIONS, AND AVAILABILITY
SYBR reserves the right to update, modify, suspend, restrict, or discontinue the Platform or any portion of it at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Platform.
Any updates, enhancements, or modifications to the Platform shall be subject to this Agreement unless separate terms apply.
9. THIRD-PARTY SERVICES AND INTEGRATIONS
The Platform may interoperate with or include links to third-party systems, software, APIs, integrations, websites, or services. SYBR does not control and is not responsible for the availability, performance, security, content, or practices of any third-party service.
Your use of third-party services is at your own risk and may be subject to separate third-party terms.
10. TERMINATION
SYBR may suspend or terminate this Agreement or your access to the Platform at any time, with or without notice, if:
Upon termination, your license to use the Platform shall immediately end, and you must cease all use of the Platform.
11. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SYBR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF SYBR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SYBR FOR THE PLATFORM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless SYBR, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
14. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict of law principles.
15. DISPUTE RESOLUTION
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Platform shall be resolved through binding arbitration in Pennsylvania, USA, in accordance with the rules of the American Arbitration Association then in effect.
You waive any right to participate in a class action, class arbitration, or representative proceeding.
16. CHANGES TO THIS AGREEMENT
SYBR may revise this Agreement from time to time. Any updated version will be effective upon posting unless otherwise stated. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Agreement.

This Policy is provided online for convenience and general reference. A printed copy of this Policy may be obtained by contacting SYBR at info@sybr.org. In the event of a conflict between this online Policy and a fully executed written agreement between SYBR and a customer, the executed written agreement shall control.
