SYBR TMS - EULA

Effective Date: March 11, 2025 Last Updated: March 11, 2025This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and SYBR, LLC ("SYBR," "we," "our," or "us") governing your use of the SYBR TMS web application ("Platform") available online. By accessing or using the Platform, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Platform.

1. LICENSE GRANT

Subject to compliance with this Agreement, SYBR grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal or internal business use.

2. RESTRICTIONS

You may not:

Modify, copy, distribute, sell, lease, or sublicense the Platform;
Reverse engineer, decompile, or disassemble the Platform;
Use the Platform for any unlawful purpose;
Use the Platform in a way that could interfere with its normal operation or with other users' use;
Access or attempt to access the Platform’s source code.

3. ACCOUNT REGISTRATION AND SECURITY

To use certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. SYBR is not liable for unauthorized access to your account.

4. PRIVACY POLICY

Your use of the Platform is subject to SYBR’s Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Platform, you consent to our data practices.

5. UPDATES AND CHANGES

SYBR may update, modify, or discontinue the Platform at any time without notice. This Agreement will apply to any updates unless separate terms accompany them.

6. INTELLECTUAL PROPERTY

The Platform, including all content, trademarks, and proprietary technology, is owned by SYBR or its licensors. You acquire no rights other than the limited license granted under this Agreement.

7. TERMINATION

SYBR may suspend or terminate this Agreement and your access to the Platform at any time if you violate any terms. Upon termination, you must stop using the Platform and delete all access credentials.

8. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. SYBR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

10. GOVERNING LAW

This Agreement is governed by the laws of the State of Pennsylvania, USA, without regard to conflict of laws principles.

11. DISPUTE RESOLUTION

Any disputes shall be resolved through binding arbitration in Pennsylvania, USA, under the rules of the American Arbitration Association. You waive the right to participate in class actions.

12. CHANGES TO THIS AGREEMENT

We may update this Agreement from time to time. Your continued use of the Platform after changes constitutes acceptance of the new terms.
