This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and SYBR, LLC ("SYBR," "we," "our," or "us") governing your download, installation, access to, and use of the SYBR Track mobile application and any related services, features, content, and updates (collectively, the "App"). The App may be made available through the Apple App Store, Google Play Store, or other authorized distribution channels.
By downloading, installing, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not download, install, access, or use the App.
1. LICENSE GRANT
Subject to your compliance with this Agreement, SYBR grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on a compatible mobile device that you own or control, solely for your personal use or internal business use in connection with authorized SYBR services.

3. ACCOUNT REGISTRATION AND SECURITY
To use certain features of the App, you may be required to create or access an account. You agree to provide accurate, current, and complete information and to keep your information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. SYBR is not responsible for unauthorized access to your account resulting from your failure to maintain the security of your credentials or device.
4. DEVICE, CONNECTIVITY, AND PERMISSIONS
The App may require access to certain device features and permissions, including but not limited to location services, background location access, camera, storage, notifications, or network connectivity, in order to function properly.
By using the App and granting such permissions, you acknowledge that certain App features may not operate correctly without them. You are responsible for any charges imposed by your mobile carrier, wireless provider, or internet service provider, including data usage, roaming fees, and messaging charges.
5. PRIVACY POLICY
Your use of the App is subject to SYBR’s Privacy Policy, which describes how we collect, use, store, and protect your information. By using the App, you acknowledge and agree to the data practices described in the Privacy Policy.
6. UPDATES AND CHANGES
SYBR may from time to time develop patches, bug fixes, updates, upgrades, or other modifications to improve the App or comply with legal, technical, or operational requirements. We reserve the right to update, modify, suspend, or discontinue the App or any portion of it at any time, with or without notice.
This Agreement applies to all updates and modifications unless separate terms accompany such updates.
7. INTELLECTUAL PROPERTY
The App, including all software, code, text, graphics, logos, icons, designs, interfaces, trademarks, service marks, and proprietary technology, is and shall remain the exclusive property of SYBR or its licensors.
Except for the limited license expressly granted in this Agreement, no right, title, or interest in or to the App or any intellectual property rights therein is granted to you.
8. THIRD-PARTY SERVICES AND APP STORES
The App may rely on, interoperate with, or link to third-party services, platforms, hardware, operating systems, or application stores, including Apple and Google. SYBR is not responsible for the availability, security, functionality, policies, or practices of any third-party service or platform.
Your use of any third-party service may be subject to separate terms and conditions imposed by those third parties.
9. TERMINATION
SYBR may suspend or terminate this Agreement or your access to the App at any time, with or without notice, if:
Upon termination, all rights granted to you under this Agreement shall immediately cease, and you must stop using the App and delete all copies of the App from your devices.
10. DISCLAIMER OF WARRANTIES
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
SYBR DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT THE APP WILL OPERATE WITH ALL DEVICES, OPERATING SYSTEMS, OR NETWORKS.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, BUSINESS, PROFITS, REVENUE, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF SYBR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYBR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APP SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID, IF ANY, TO USE THE APP IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
12. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict of law principles.
13. DISPUTE RESOLUTION
Any dispute, claim, or controversy arising out of or relating to this Agreement or the App shall be resolved by binding arbitration in Pennsylvania, USA, in accordance with the rules of the American Arbitration Association then in effect.
You waive any right to participate in a class action, class arbitration, or representative proceeding.
14. CHANGES TO THIS AGREEMENT
We may revise this Agreement from time to time. Any updated version will be effective upon posting unless otherwise stated. Your continued use of the App after any changes become effective constitutes your acceptance of the revised Agreement.

This Policy is provided online for convenience and general reference. A printed copy of this Policy may be obtained by contacting SYBR at info@sybr.org. In the event of a conflict between this online Policy and a fully executed written agreement between SYBR and a customer, the executed written agreement shall control.
